TERMS AND CONDITIONS

 

MEMLI LLC is a limited company incorporated in San Marcos, CALIFORNIA trading as MEMLI Coffee Lab. MEMLI Coffee Lab is a retail and wholesale specialty coffee roaster and coffee workshop organizer. Our business operates in the United States of America (USA).

Please read the terms and conditions. This document is the basis of our contract with you. By accepting our terms and conditions through booking, purchase, subscriptions, we assume that you have read these terms and conditions and you agree with them. As we can accept your order and make a legally enforceable agreement without further reference to you, you must read these terms and conditions to make sure that they contain all that you want and nothing that you are not happy with.

Application

  • These Terms and Conditions will apply to the purchase of the services or goods by you (the Customer or you). We are MEMLI LLC whose trading name is MEMLI Coffee Lab a company registered whose registered office is at 1365 grand avenue, Suite 103 with email address mehmet.sogan@memlicoffee.com.

  • These are the terms on which we sell coffee bags, coffee subscriptions or workshop tickets to you. By ordering any of the aforementioned products you agree to be bound by these Terms and Conditions. Before placing an order on the website, you will be asked to agree to these Terms and Conditions by clicking on the button marked ‘I Accept’. If you do not click on the button, you will not be able to complete your Order.

Interpretation

  • Consumer means an individual acting for purposes which are wholly or mainly outside his or her trade, business, craft or profession;

  • Contract means the legally-binding agreement between you and us for the supply of the products

  • Coffee bags means the core products advertised on the Website that we roast.

  • Order means the Customer’s order for the products from us.

  • Privacy Policy means the terms which set out how we will deal with confidential and personal information received from you via the Website;

  • Website means our website www.memlicoffe.com on which the coffees are advertised.

Coffee

  • The description of the coffee we roast is as set out in the Website, catalogs, brochures or other form of advertisement. Any description is for illustrative purposes only.

  • All coffees which appear on the Website are subject to availability.

  • All coffee’s roasting date, origin, variety and other information are clearly displayed on the bag.

  • We can make changes to the coffee blend in case of non-availability of the green coffee. We will notify you of these changes.

  • Subscriptions effective date starts at the purchase for the selected period and frequency.

Personal information

  • We retain and use all information strictly under the Privacy Policy. For us to process the Order in the best conditions, we need to use the information you provide such as name, address, any special needs/dietary requirements etc.

  • We may contact you by using e-mail or other electronic communication methods.

  • As the coffee roaster, we take full responsibility for ensuring the proper freshness and safety of our products.

Basis of Sale

  • When an Order has been submitted on the Website, we can reject it for any reason, although we will try to tell you the reason without delay.

  • The Order process is set out on the Website. Each step allows you to check and amend any errors before submitting the Order. It is your responsibility to check that you have used the ordering process correctly.

  • A Contract will be formed for the sale of the coffee bags ordered only when you receive an email from us confirming the Order (Order Confirmation). You must ensure that the Order Confirmation is complete and accurate and inform us immediately of any errors. We are not responsible for any inaccuracies in the Order placed by you. You will receive the Order Confirmation within a maximum of 24 hours after the payment authorization.

  • Any quotation is valid for a maximum period of 1 day from its date, unless we expressly withdraw it at an earlier time.

Price and Payment

  • The price of the coffee and workshops and any additional delivery or other charges is that set out on the Website at the date of the Order or such other price as we may agree in writing. In case of any modification in our prices to those set out, we will notify you prior to accepting your Order. All our prices are quoted in US Dollars.

  • Prices and charges doesn’t include tax at the rate applicable at the time of the Order.

  • You must pay by submitting your credit or debit card details with your Order and we can take payment immediately.

Brochure and website content

  • MEMLI Coffee Lab takes full responsibility to deliver the accuracy of the information included in our advertisement means and on our website. However, we want to warn our customer that our content is subject to change, often due to the actions of our suppliers. In any case, we are entitled to notify you of any change known to us as soon as we are notified by our Suppliers.

Health and Safety Requirement

  • It is also your responsibility to ensure you seek advice from a medical professional to see if you have any allergies, as well as awareness of any health related precautions when consuming caffeinated products.

Withdrawal and cancellation

  • Refund will be processed in accordance with the cancellation rights against payments received. Your refund request will be answered and processed as soon as possible. If you do not receive a reply within one business day, please contact our office. We are not be responsible if emails fail to reach us.

  • Orders are not refundable once it has been shipped and shipment notification has been sent.

  • You can cancel the subscriptions at any time during the subscription period by telling us no later than 30 calendar days prior to the date of expiration set out in the subscription chosen. Then we must without delay refund to you the pro-rated price for the coffee pre-paid.

  • To exercise the right to cancel, you must inform us of your decision to cancel this Contract by a clear statement setting out your decision (e.g. a letter sent by post, fax or email). In any event, you must be able to show clear evidence of when the cancellation was made. You can use the model cancellation form presented to you at the end of this document.

  • Any private event, workshops can be cancelled and are fully refundable by telling us no later than 14 calendar days prior to the date

  • Deposits are fully refundable by telling us no later than 14 calendar days prior to the date

Timing of reimbursement

  • We will make the reimbursement without undue delay, and not later than 7 business days after the day we receive your cancellation notice

  • We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement.

Conformity and Guarantee

  • We have a legal duty to supply the coffee bags in conformity with the Contract, and will not have conformed if it does not meet the following obligation. Upon delivery, coffee will:

    • Match the description of the coffee

    • Arrive within 7-10 business days after the roasting date

  • We will provide the following after-sales service: MEMLI Coffee Lab will support the customer in any issues concerning our coffee. MEMLI Coffee Lab is also 24/7 available for any information inquiry about the health and safety of their customers.

Dealing with complaints

  • If you have any issue regarding our coffee, please immediately inform the relevant supplier whose service is involved (e.g. coffee shop owner, hotelier, etc…) and our local representative (or if none, Memli Coffee Lab), who will endeavor to fix the problem. If you wish to complain and the issue cannot be resolved locally, please provide us full details within 28 days of your return giving your Order reference and all other relevant information. It is strongly recommended that you communicate any complaint to the supplier of the services as well as to our representative without delay. If you fail to follow this simple procedure we will have been deprived of the opportunity to investigate and rectify your complaint.

Ownership of content

  • MEMLI LLC owns all intellectual property rights in the Website and its content unless otherwise stated. You may not publish, distribute, extract, re-utilize, or reproduce any part of the Website or its content in any form other than as expressly allowed or as permitted on the Site or under US law. The Site and its content are for your personal, non-commercial use only, and are not for re-distribution, transfer, assignment or sub-license or for any commercial or partly-commercial re-sale or other use.

 

Governing law, jurisdiction and complaints

  • The Contract (including any non-contractual matters) is governed by the law of Texas.

  • Disputes can be submitted to the jurisdiction of the courts of Houston, Texas

  • We try to avoid any dispute, so we deal with complaints in the following way: If a dispute occurs customers should contact us to find a solution. We will aim to respond with an appropriate solution within 3 business days.

 

Updates

  • Our Terms & Conditions are updated from time to time. The terms and conditions which will apply to your Order are those on our website at the time of booking. There may be additional terms and conditions which apply to our special offers, promotions and discounts from time to time. These will be notified to you at the time of your order and should you inform us that you would like to take advantage of them
